Some Program is running in the background which is changing the content
of the harddisk while scandisk is running. Thus scandisk restarts
everytime it "senses" that the disk contents have been changed. When it
goes on for 10 or more time, the above message appears and scandisk
terminates.

Check which programs are running in the background. In the systray near
the time at the right-bottom corner, several icons might be appearing.
Close them all.

As you say nothing is there, Press Ctrl-Alt-Del only once, that
end-task-shutdown dialogue will appear with the list of programs still
running. There should remain only one or two things, though I am not
sure what these are.

btw, "THOROUGH" scandisk does take hours. It checks every byte of hard
disk, and, with the sizes of hard disk increasing, it may go on for one
to two hours, even more if you select "write-verification" option. you
should have mentioned the hard disk size.
